Eligibility

Additionally, You are prohibited from selling, trading, or otherwise transferring Your Account to another person

If You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this Terms of Use, We shall have the right to indefinitely suspend or terminate or block access of your membership on the Website and refuse to provide You with access to the Website.

Platform for Communication the Website is only a venue where Users may meet and interact with one another for their transactions. Vidi Meth Digital Services is not and cannot be a party to or control in any manner any transaction between two Users of the Website.

  1. All commercial/contractual terms are offered by and agreed to between users of the website alone.
  2. VidiMeth Digital Services does not make any representation or Warranty as to specifics (such as quality, value, salability, etc) of the services proposed to be soldor offered to be sold or purchased on the Website.
  3. VidIMeth Digital Services does not implicitly or explicitly support or endorse the sale or purchase of any services on the Website. Vidi Meth Digital Services accepts no liability for any errors or omissions, whether on behalf of itself or third parties.
  4. VidiMeth Digital Services platform shall not be utilized to upload, post, email, transmit or otherwise make available either directly or indirectly, any unsolicited bulk e-mail or unsolicited commercial e-mail by the user. Vidi Meth Digital Services reserves the right to filter and monitor and block the emails sent by users using the servers maintained by Vidi Meth Digital Services to relay emails. All attempts shall be made by Vidi Meth Digital Services and the user to abide by International Best Practices in containing and eliminating Spam.
  5. Users shall not spam the database maintained by Vidi Meth Digital Services or indiscriminately and repeatedly forward mail that may be considered spam etc. Any conduct of the user in violation of this clause shall entitle Vidi Meth Digital Services to forthwith terminate all services to the user without notice and to forfeit any amounts paid by him.
  6. The user shall not upload, post, transmit, publish, or distribute any material or information that is unlawful, or which may potentially be perceived as being harmful, threatening, abusive, harassing, defamatory, libellous, vulgar, obscene, or racially, ethnically, or otherwise objectionable.
  7. The User is solely responsible for maintaining confidentiality of the User password and user identification and all activities and transmission performed by the User through his user identification and shall be solely responsible for carrying out any online or off-line transaction involving credit cards / debit cards or such other forms of instruments or documents for making such transactions and Vidi Meth Digital Services assumes no responsibility or liability for their improper use of information relating to such usage of credit cards / debit cards used by the subscriber online / off-line.
  8. The User/Subscriber/Visitor to Vidi Meth Digital Services and/or its affiliated websites does hereby specifically agree that he/she shall, at all times, comply with the requirements of the Information Technology Act, 2000 as also rules, regulations, guidelines, bye laws and notifications made there under, while assessing or feeding any resume/ insertion or information/data into the computers, computer systems or computer network of Vidi Meth Digital Services. The said User/ subscriber/ visitor to Vidi Meth Digital Services and/or its affiliated websites does further unequivocally declare that in case he violates any provisions of the Information Technology Act, 2000 and/or rules, regulations, guidelines, byelaws and notifications made there under, he shall alone be responsible for all his acts, deeds and things and that he alone shall be liable for civil and criminal liability there under or under any other law for the time being in force.
  9. The user shall not infringe on any intellectual property rights of any person / entity or retain information / download any information from any computer system or otherwise with an intention to do so.
  10. Vidi Meth Digital Services will make best efforts to do so but does not warrant that any of the websites or any affiliate site(s) or network system linked to it is free of any operational errors nor does it warrant that it will be free of any virus, computer contaminant, worm, or other harmful components. The subscription of a user shall be subject to Quotas as applicable and as advised.e-mails provided as part of contact details are expected to be genuine and access to such email accounts is available to authorized personnel only.
  11. Vidi Meth Digital Services shall not be liable for any loss or damage sustained by reason of any disclosure (inadvertent or otherwise) of any information concerning the user’s account and / or information relating to or regarding online transactions using credit cards / debit cards and / or their verification process and particulars nor for any error, omission or inaccuracy with respect to any information so disclosed and used whether or not in pursuance of a legal process or otherwise.
  12. Payments for the services offered by Vidi Meth Digital Services shall be on a 100% advance basis. Refund if any will be at the sole discretion of Vidi Meth Digital Services offers no guarantees whatsoever for the accuracy or timeliness of the refunds reaching the Customers card/bank accounts.  Vidi Meth Digital Services.in gives no guarantees of server uptime or applications working properly. All is on a best effort basis and liability is limited to refund of amount only. Vidi Meth Digital Services undertakes no liability for free services.
  13. In case a person using the world wide web/internet receives a spam or virus which includes a link to Vidi Meth Digital Services or to any other site maintained, operated or owned by Vidi Meth Digital Services (OPC) Private Limited, it should not be held responsible for the same. Vidi Meth Digital Services assumes no responsibility for such mails.
  14. Vidi Meth Digital Services neither guarantees nor offers any warranty about the credentials bonafides, status or otherwise of the prospective employer/organization which downloads the resume/ insertion or information/data and uses it to contact the user. Vidi Meth Digital Services would not be held liable for loss of any data technical or otherwise, or of the resume/ insertion or information/data or particulars supplied by user due to acts of god as well as reasons beyond its control like corruption of data or delay or failure to perform as a result of any cause(s) or conditions that are beyond Vidi Meth Digital Services’s reasonable control including but not limited to strikes, riots, civil unrest, govt. policies, tampering of data by unauthorized persons like hackers, distributed denial of service attacks, virus attacks, war and natural calamities.
  15. Vidi Meth Digital Services undertakes to take all reasonable precautions at its end to ensure that there is no leakage/misuse of the password granted to the subscriber. It shall be the sole responsibility of the user to ensure that it uses the privacy setting options as it deems fit to debar / refuse access of the data fed by it, to such corporate entities individuals, or consultants.
  16. User further represents that the products/services purchased are not for resale to others.
  17. Vidi Meth Digital Services shall not and is not required to mediate or resolve any dispute or disagreement between employee and employers.
  18. You release and indemnify Vidi Meth Digital Services and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions of the Users of the website and specifically waive any claims that you may have in this behalf under any applicable law. Notwithstanding its reasonable efforts in that behalf, Vidi Meth Digital Services cannot take responsibility or control the information provided by other Users which is made available on the website. You may find other User’s information to be offensive, harmful, inconsistent, inaccurate, or deceptive. Please use caution and practice safe trading when using the Website.

You shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.

ANY REFERENCE TO DUTIES AND TAXES ETC IN THESE TERMS OF USE SHALL INCLUDE GOODS AND SERVICES TAX (HEREIN REFERRED AS GST) FROM THE DATE GST LAW IS IMPLEMENTED IN INDIA. Payments Related Information

YOU ARE REQUESTED TO HONOUR YOUR PAYMENT OBLIGATIONS TO THE COMPANY.

  1. Payments for the services offered by the Platform shall be on a 100% advance basis. The payment for service once subscribed to by you is not refundable and any amount paid shall stand appropriated. Refund, if any, will be at the sole discretion of the Company.
  2. User hereby irrevocably accepts to receive the tax invoice as soft copy through emails.
  3. Notwithstanding anything contained in any other agreement or arrangement, by whatever name called, the performance obligation of the Company (service provider) is to provide access of its on-line portal to the customer for the duration of the subscription period & reference to any usage, by whatever name called or any other performance obligation, if any, is to provide the upper limit for consumption, which by itself, does not create any additional performance obligation upon the Company.
  4. In the event of any suspension or termination of services on account of non-compliance of these Terms of Use, any payment made to the Company by you shall stand forfeited with immediate effect.
  5. While availing any of the payment method/s available on the Website, we will not be responsible or assume any liability whatsoever in respect of any loss or damage arising directly or indirectly to You due to:
    • Lack of authorization for any transaction/s, or
    • Any payment issues arising out of the transaction, or
    • Exceeding the preset limit mutually agreed by You and between “Bank/s”, or
    • Decline of transaction for any other reason/s
  6. All payments made against the purchases/services on Website by you shall be compulsorily in Indian Rupees acceptable in the Republic of India. Website will not facilitate transaction with respect to any other form of currency with respect to the purchases made on Website.
  7. The User acknowledges and agrees that Company/Platform, at its sole discretion and without prejudice to other rights and remedies that it may have under the applicable laws, shall be entitled to set off the amount excess paid by a subscriber/user against any amount(s) payable by User to Company under any other agreement or commercial relationship towards other products/services. The Company gives no guarantees of server uptime or applications working properly. All is on a best effort basis and liability is limited to refund of amount only.
  8. You understand, accept and agree that the payment facility provided by Vidi Meth Digital Services is neither a banking nor financial service but is merely a facilitator providing an electronic, automated online electronic payment, receiving payment through collection and remittance facility for the Transactions on the Vidi Meth Digital Services Website using the existing authorized banking infrastructure and Credit Card payment gateway networks.
  9. Vidi Meth Digital Services reserves the right to refuse to process Transactions by users with a prior history of questionable charges including without limitation breach of any agreements by user with Vidi Meth Digital Services website or breach/violation of any law or any charges imposed by Issuing Bank or breach of any policy.
  10. Users, buying the products online are redirected to third party gateways for completing payment transactions. These transactions happen on third party network and hence not controlled by Company.
  11. A User through his user identification and shall be solely responsible for carrying out any online or off-line transaction involving credit cards / debit cards or such other forms of instruments or documents for making such transactions and Company assumes no responsibility or liability for their improper use of information relating to such usage of credit cards / debit cards used by the subscriber online / off-line.
  12. The Company shall not be liable for any loss or damage sustained by reason of any disclosure (inadvertent or otherwise) of any information concerning the user’s account and / or information relating to or regarding online transactions using credit cards / debit cards and / or their verification process and particulars nor for any error, omission or inaccuracy with respect to any information so disclosed and used whether or not in pursuance of a legal process or otherwise.
  13. The User or customer shall be required to promptly provide copy of TDS certificate to the Company as mandated under law for tax deducted at source from the payments made to the Company. Any loss on account of non-availment or disallowance of such TDS credit in view of any lapse as per this clause or as required under applicable law on the part of User or customer shall entitle the company to seek reimbursement or indemnification.
  14. User shall comply with all the applicable laws (including without limitation Foreign Exchange Management Act, 1999 and the rules made and notifications issued there under and the Exchange Control Manual as may be issued by Reserve Bank of India from time to time, Customs Act, Information and Technology Act, 2000 as amended by the Information Technology (Amendment) Act 2008, Prevention of Money Laundering Act, 2002 and the rules made there under, Foreign Contribution Regulation Act, 1976 and the rules made there under, Income Tax Act, 1961 and the rules made there under, Export Import Policy of government of India) applicable to them respectively for using Payment Facility and Vidi Meth Digital Services Website.
  15. All Valid Credit/Debit/Cash Card/and other payment instruments are processed using a Credit Card payment gateway or appropriate payment system infrastructure and the same will also be governed by the terms and conditions agreed to between the Buyer and the respective Issuing Bank and payment instrument issuing company.
  16. All Online Bank Transfers from Valid Bank Accounts are processed using the gateway provided by the respective Issuing Bank which support Payment Facility to provide these services to the Users. All such Online Bank Transfers on Payment Facility are also governed by the terms and conditions agreed to between Buyer and the respective Issuing Bank.

Dispute Settlement

Decision of the arbitrator shall be final and binding on both the parties to the dispute. The place of arbitration shall be Jamshedpur, Jharkhand, India. The Arbitration & Conciliation Act, 1996 as amended, shall govern the arbitration proceedings.

The Company will not be party to any legal proceedings between a User (e.g., a subscriber) and a party contacted through the site. In case Company is made a party in any legal proceedings, costs will be recovered from the party on whose behest the Company is involved in the matter, to which it otherwise has no control. Company however will abide with any court order served on it through due process.

Waiver: Any failure or delay by a party to enforce or exercise any provision of the Agreement, or any related right, shall not constitute a waiver by such party of that provision or right. The exercise of one or more of a party’s rights hereunder shall not be a waiver of, or preclude the exercise of, any rights or remedies available to such party under these Terms of Use or in law or at equity. Any waiver by a party shall only be made in writing and executed by a duly authorized officer of such party.

 

Data Protection Amendment

 In line with General Data Protection Regulation, the below mentioned obligations are drafted which will be applicable on both the parties

  1. Definitions

      For the purposes of the clauses:

  1. “GDPR” means Regulation (EU) 2016/679 of the European Parliament and of the Council of 27th April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC.
  2. The “data exporter” shall mean the controller who transfers the personal data.
  3. The “data importer” shall mean the controller who agrees to receive from the data exporter personal data for further processing in accordance with the terms of these clauses and who is not subject to a third country’s system ensuring adequate protection.
  4. “Clauses” shall mean these contractual clauses, which are a free-standing document that does not incorporate commercial business terms established by the parties under separate commercial arrangements.
  5. “Data Protection Legislation” means the GDPR for as long as it is directly applicable in the European Union and any national implementing laws, regulations and secondary legislation, as amended or updated from time to time, in India, and then any successor legislation.
  6. “Data Subject” means a data subject as defined by the Data Protection Legislation.
  7. “Personal Data” means personal data as defined by the Data Protection Legislation.

Note: The terms “data exporter” and “data importers” are strictly for use within the context of this amendment which should be interpreted only as defined above, and do not carry the same meaning as defined under any other regulations.

  1. Obligations of the data exporter

      The data exporter warrants and undertakes that:

  1. The personal data have been collected, processed and transferred in accordance with the laws applicable to the data
    exporter.
  2. It has used reasonable efforts to determine that the data importer is able to satisfy its legal obligations under these clauses
  3. It will provide the data importer, when so requested, with copies of relevant data protection laws or references to them (where relevant, and not including legal advice) of the country in which the data exporter is established.
  1. Obligations of the data importer

      The data importer warrants and undertakes that:

  1. It will have in place appropriate technical and organisational measures to protect the personal data against accidental or unlawful destruction or accidental loss, alteration, unauthorised disclosure or access, and which provide a level of security appropriate to the risk represented by the processing and the nature of the data to be protected.
  2. It will have in place procedures so that any third party it authorises to have access to the personal data, including processors, will respect and maintain the confidentiality and security of the personal data. Any person acting under the authority of the data importer, including a data processor, shall be obligated to process the personal data only on instructions from the data importer. This provision does not apply to persons authorised or required by law or regulation to have access to the personal data.
  3. It has no reason to believe, at the time of entering into these clauses, in the existence of any local laws that would have a substantial adverse effect on the guarantees provided for under these clauses, and it will inform the data exporter (which will pass such notification on to the authority where required) if it becomes aware of any such laws.
  4. It will process the personal data for purposes described in the privacy policy and terms and conditions, and has the legal authority to give the warranties and fulfil the undertakings set out in these clauses.
  5. It will identify to the data exporter a contact point within its organisation authorised to respond to enquiries concerning processing of the personal data, and will cooperate in good faith with the data exporter, the data subject and the authority concerning all such enquiries within a reasonable time.
  6. It will not disclose or transfer the personal data to a third party data controller without ensuring that adequate and equivalent safeguards to the Personal Data.

4.Law applicable to the clauses

      These clauses shall be governed by the law of the country in which the data exporter is established.

  1. Resolution of disputes with data subjects or the authority

In the event of a dispute or claim brought by a data subject or the authority concerning the processing of the personal data against either or both of the parties, the parties will inform each other about any such disputes or claims, and will cooperate with a view to settling them amicably in a timely fashion.

  1. The parties agree to respond to any generally available non-binding mediation procedure initiated by a data subject or by the authority. If they do participate in the proceedings, the parties may elect to do so remotely (such as by telephone or other electronic means). The parties also agree to consider participating in any other arbitration, mediation or other dispute resolution proceedings developed for data protection disputes.
  2. Each party shall abide by a decision of a competent court of the data exporter’s country of establishment or of the authority which is final and against which no further appeal is possible.

6.Termination

In the event that the data importer is in breach of its obligations under these clauses, then the data exporter may temporarily suspend the transfer of personal data to the data importer until the breach is repaired or the contract is terminated.

  1. In the event that:
  • If the transfer of personal data to the data importer has been temporarily suspended by the data exporter for longer than one month pursuant to paragraph (a)
  • If compliance by the data importer with these clauses would put it in breach of its legal or regulatory obligations in the country of import
  • If the data importer is in substantial or persistent breach of any warranties or undertakings given by it under these clauses
  • If a final decision against which no further appeal is possible of a competent court of the data exporter’s country of establishment or of the authority rules that there has been a breach of the clauses by the data importer or the data exporter
  • If a petition is presented for the administration or winding up of the data importer, whether in its personal or business capacity, which petition is not dismissed within the applicable period for such dismissal under applicable law; a winding up order is made; a receiver is appointed over any of its assets; a trustee in bankruptcy is appointed, if the data importer is an individual; a company voluntary arrangement is commenced by it; or any equivalent event in any jurisdiction occurs, then the data exporter, without prejudice to any other rights which it may have against the data importer, shall be entitled to terminate these clauses, in which case the authority shall be informed where required. In cases covered by (i), (ii), or (iv) above the data importer may also terminate these clauses.

b.Either party may terminate these clauses if (i) any Commission positive adequacy decision under Article 25(6) of Directive 95/46/EC (or any superseding text) is issued in relation to the country (or a sector thereof) to which the data is transferred and processed by the data importer, or (ii) Directive 95/46/EC (or any superseding text) becomes directly applicable in such country.

c.The parties agree that the termination of these clauses at any time, in any circumstances and for whatever reason (except for termination under clause VI(c)) does not exempt them from the obligations and/or conditions under the clauses as regards the processing of the personal data transferred.
